PRG Kiowa, DONCO, and Longview Generation Sell Subordinated Economic Interest in KPP

 

January 25, 2006 - PRG Kiowa, LLC, DONCO, LLC and Longview Generation, LLC sold their subordinated economic interest in the cash flows of the Kiamichi Energy Facility, a 1,220-megawatt combined-cycle, natural gas-fired generating plant in Oklahoma, to Trust Company of the West.


A joint venture between PRG, DONCO, and Longview was the initial developer of the project. In February 2001, Tenaska, Inc. became the lead developer responsible for overall development, financing and construction. In October 2001, Tenaska and Diamond Generating Corporation purchased total ownership of Kiowa Power Partners, LLC, the special purpose company for the project, and PRG, DONCO, and Longview retained subordinated economic interest in the project cash flows.  Diamond Generating is a wholly owned subsidiary of Mitsubishi Corporation.


The project is located in Pittsburg County, south of Kiowa, Oklahoma, which is approximately 100 miles south of Tulsa and has been in operation since 2003. The facility includes four GE Frame 7FA gas turbines, four heat recovery steam generators and two GE steam turbines.


The Tenaska facility has a long-term electricity production agreement with Coral Energy for the entire electrical production of the generating station. Under this long-term agreement, Coral markets the electricity produced by the facility throughout the regional wholesale power market. An affiliate of Coral also supplies the natural gas to fuel the facility. Tenaska Operations, Inc., a Tenaska affiliate, operates the facility.


Fieldstone Private Capital Group, Inc., led by Manfred Ernst along with Brooks Kaufman and Anastasia Pozdniakova, ran a competitive sales auction and advised the sellers in connection with the transaction.
